Subject: Proposal for Amicable Resolution and Completion of Contractual Supply

Dear Sir/Madam,

DATASEL S.R.L. respectfully addresses the Government of the Republic of Estonia with a view to achieving a constructive, practical and mutually acceptable resolution of the matters presently arising in connection with the contractual supplies to Estonia.

DATASEL’s position is clear: we remain willing and prepared to complete the contractual supply. Our objective is not to prolong the present dispute, but to establish a practical framework that protects the interests of Estonia, objectively addresses the outstanding technical and contractual matters, and enables the underlying defence procurement requirement to be fulfilled.

Ability and Commitment to Complete the Supply

DATASEL has already undertaken substantial procurement activities, financial commitments and supply-chain arrangements in connection with the contractual requirements. Significant resources have been committed towards raw materials, components, manufacturing and associated procurement activities necessary for completion of the supply.

Subject to the availability of the requisite funds and agreement between the parties on an appropriate implementation framework, DATASEL believes that the outstanding contractual requirements can be completed within a practical and mutually agreed delivery schedule.

DATASEL’s existing procurement commitments and supply-chain arrangements place it in a position to proceed with the remaining requirements without unnecessary delay once the necessary implementation and funding framework has been agreed.

DATASEL is prepared to work directly with the competent Estonian authorities to establish such a schedule and provide appropriate visibility regarding procurement, production, inspection and delivery milestones.

Quality and Independent Technical Verification

DATASEL wishes to place particular emphasis on the quality, safety, reliability and technical conformity of the material to be supplied. These considerations are fundamental to DATASEL’s proposal and will remain central to any framework for completion of the outstanding contractual supply.

DATASEL fully recognises that defence material intended for the Republic of Estonia must satisfy demanding standards of quality, safety, consistency, reliability, traceability and performance. Accordingly, DATASEL is committed to ensuring that the remaining material is procured and manufactured through appropriately qualified and technically capable production sources, supported by suitable manufacturing controls, quality-assurance procedures, documentation and traceability.

DATASEL will not compromise on the quality or technical integrity of the material supplied. Completion of the contractual requirement will not be pursued at the expense of product quality, safety, reliability or conformity with the agreed contractual specifications. DATASEL’s objective is not simply to complete the outstanding

quantities, but to complete them through a controlled and verifiable process capable of providing Estonia with confidence in the material ultimately delivered.

As part of any agreed implementation framework, DATASEL is prepared to provide appropriate visibility over the relevant manufacturing and quality-assurance processes and to cooperate with the competent Estonian authorities in establishing clearly defined quality-control, inspection, testing and acceptance requirements before further deliveries are undertaken.

Without prejudice to the parties’ respective legal and contractual positions, DATASEL is further prepared to cooperate fully in a robust and mutually agreed technical verification process, which may include:

• independent inspection and testing; • verification against applicable contractual specifications; • batch and lot traceability; • review of relevant quality documentation and certification; and • mutually agreed inspection and acceptance procedures.

DATASEL welcomes appropriate independent technical scrutiny. Where any specific non-conformity is objectively established through an agreed technical process, DATASEL is prepared to address it through appropriate corrective measures within the applicable contractual framework.

Our commitment is to complete the supply to the required quality and technical standards, not merely to complete the outstanding quantities. DATASEL believes that this commitment, supported by transparent quality controls and independent technical verification, can provide the Government of Estonia and RKIK with the necessary confidence in the material to be delivered.

Proposed Framework for Resolution

DATASEL respectfully proposes that representatives of the Government of Estonia, RKIK and DATASEL enter into an immediate structured dialogue with the objective of agreeing a framework under which:

1. the contractual status of material already delivered, made available or otherwise held in connection with the contracts is jointly reviewed;

2. any identified technical or quality concerns are examined through mutually acceptable and, where appropriate, independent technical verification;

3. the outstanding contractual requirements, quantities, specifications and delivery priorities are jointly confirmed;

4. inspection, testing, acceptance and documentation procedures are agreed in advance; 5. subject to the availability of the requisite funds and agreement upon the implementation framework,

DATASEL proceeds with the outstanding supply according to a mutually agreed delivery schedule; and 6. the parties work towards an amicable and comprehensive resolution of their outstanding contractual and

legal differences.

For this purpose, DATASEL further proposes the establishment of a joint technical and commercial working group comprising authorised representatives of the parties. The group would identify and address the outstanding technical, contractual, financial and logistical matters and prepare a mutually agreed implementation roadmap within an agreed timeframe.

We believe that this approach offers a practical alternative to prolonged proceedings. It would preserve the value of the substantial work, procurement and investment already undertaken, reduce further legal and administrative costs, provide an objective mechanism for addressing technical concerns and enable Estonia’s intended defence procurement requirement to be fulfilled.

Good-Faith Proposal for Direct Dialogue

This proposal is made in good faith, without prejudice and with the express reservation of all contractual and legal rights, remedies, claims and defences of DATASEL S.R.L.

Nothing contained in this letter should be interpreted as an admission of liability, breach, non-conformity or acceptance of any allegation or claim advanced against DATASEL.

While DATASEL fully reserves its position in the ongoing contractual and legal matters, we believe that these differences should not prevent the parties from exploring a responsible and mutually beneficial resolution through direct institutional dialogue and objective technical assessment.

DATASEL therefore respectfully expresses its readiness to engage directly with the appropriate representatives of the Government of Estonia and RKIK to discuss the matters presently outstanding and to address, clarify and resolve any differences or misunderstandings that may exist between the parties.

As part of such discussions, DATASEL is prepared to present a concrete implementation plan addressing the outstanding material, quality-assurance and technical verification arrangements, delivery schedule and the framework required for completion of the contractual supply.
