Offer for 12 Months SecureTrack GNSS Data Analysis and Storage Service

Dear Mr. Kulu, Ladies and Gentlemen,

We are pleased to provide you with this formal offer for the SecureTrack Global Satellite Navigation System (GNSS) data analysis and storage service for a period of 12 months. This offer is in accordance with the terms and conditions specified in the agreement number 4-7/24/0048/0063-1 dated 22.07.2024 (“Framework Agreement”).

This offer has been prepared in response to your request made by Mr. Erko Kulu, Head of Frequency Management Unit at Tarbijakaitse ja Tehnilise Järelevalve Amet (TTJA), placed via email on 06.08.2024. A copy of this email is enclosed to this letter.

Offered Service and Terms

• Service Description: SecureTrack Global Satellite Navigation System (GNSS) data analysis and storage service compliant with the specifications outlined in Annex 1 and Annex 2 of the Framework Agreement.

• Service Period: 12 months, starting at the delivery of the service which will be documented by the instrument of delivery that will be provided by SeRo Systems GmbH within 3 business days after this offer has been accepted.

• Service Transfer: Transfer of services shall be verified by TTJA according to pro- cedure set out in Framework Agreement article 5 and the instrument of delivery and receipt signed by the Parties is the basis for submission of an invoice by SeRo Systems GmbH to TTJA.

• Terms and Conditions: The service will be governed by the terms and conditions defined in the Framework Agreement.

• Pricing: 50,000 EUR (excluding VAT) for the offered Service Period.

• Invoicing: In accordance with article 6 of the Framework Agreement, the term for payment for the Services will be 30 calendar days as of the submission of the invoice. The invoice will be submitted via email to [email protected] and CC’d to [email protected] and [email protected] in a machine processable form in a PDF format.

Acceptance and Signature

This offer shall be signed in two identical copies having equal legal force and each Party shall receive a copy. Signed offer shall constitute as a procurement contract under the Framework Agreement article 3.8.

By signing this offer, the Tarbijakaitse ja Tehnilise Järelevalve Amet (TTJA) accepts the offer, and the parties enter into a service agreement according to the terms set out in this offer and in compliance with the terms of the Framework Agreement.
