SALES AGREEMENT
This Sales Agreement (“Agreement”) is made and entered into on Wednesday, October
8th, 2025, by and between:
Seller: Xploration Products AB Bruttovägen 24, 12A 17543 Järfälla, Sweden ORG: 5592002116 (Hereinafter referred to as the “Seller”)
Buyer: Geological Survey of Estonia F. R. Kreutzwaldi 5 44314 Rakvere Estonia (Hereinafter referred to as the “Buyer”)
1. Scope of Supply
The Seller agrees to sell, and the Buyer agrees to purchase, the following equipment and
services: - Product: Corewise Core Saw - Includes: Core guides, spare blade, and 1 day of on-site training in Estonia - Quantity: 1 unit - Total Price: 298,810 SEK (Two Hundred Ninety-Eight Thousand Eight Hundred Ten
Swedish Kronor)
2. Delivery Terms
- Incoterms: EX Works (EXW) Seller’s facility, Sweden, Incoterms® 2020. - Xploration Products AB will arrange the collection and shipping of the Core Saw. - The cost of freight is included in the 298,810 SEK, and can be found in detail in
Appendix 1 and Appendix 2. -Delivery of products shall be to the following address: Geological Survey of Estonia Palkoja baas, Arbavere 45206 Lääne-Viru maakond Estonia
3. Payment Terms
- Total Amount: 298,810 SEK - Payment Due: 30 days from the date of shipment from the Seller’s facility. - Payments shall be made by bank transfer to the Seller’s designated account in SEK.
4. Training
The Seller shall provide one (1) day of on-site training for the Buyer’s personnel in
Estonia, included in the total price. Travel and accommodation for the Seller’s
representative are included unless otherwise agreed.
5. Warranty
The Seller warrants that the supplied equipment is free from defects in materials and
workmanship for a period of 12 months from the date of delivery. The warranty does
not cover consumable parts, misuse, or improper maintenance.
6. Spare Parts and Consumables
The Seller shall make available spare parts and consumables for purchase under
separate terms upon request by the Buyer.
7. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of
Sweden. Any disputes arising from or relating to this Agreement shall be settled by the
district court of Gothenburg, Sweden, as the court of first instance.
8. Appemdix
The Seller’s price offer, Quotation 1630, with the quotation date of 2025-10-03, is
attached to this agreement as “Appendix 1 - Quotation 1630”, as well as “Appendix 2 -
Sales Confirmation 1707”.
