Non-Exclusive License Agreement
This Non-Exclusive License Agreement (this “Agreement”) is made between the World Health Organization, acting through its Regional Office for Europe, having its head office at UN City, Marmorvej 51, DK-2100 Copenhagen Ø, Denmark (hereinafter referred to as “WHO”) and the Ministry of Social Affairs of Estonia (hereinafter referred to as “the Licensee”).
Licensee has requested permission to use, translate and adapt the copyrighted self-paced online training course about suicide prevention for students who are learning journalism or people who have recently started their career in journalism, available at https://iris.who.int/handle/10665/381340 (the “Licensed Materials”). This license is granted only for original materials belonging to WHO. If any part of the WHO published materials the Licensee wishes to reproduce are credited by WHO to a source other than WHO, those materials are not covered by this Agreement and are not part of the Licensed Materials. The Licensee is responsible for determining if this is the case, and if so, the Licensee is responsible for obtaining any necessary permission from the source of those third-party materials prior to their use. This is a legal agreement (the “Agreement”) between WHO and Licensee, granting Licensee a license to use the Licensed Materials subject to the terms and conditions herein.
1. License. Subject to the terms and conditions of this Agreement, WHO grants to the Licensee a
worldwide, royalty free, non-transferable, non-sub-licensable, non-exclusive license to use, reproduce, publish, display, translate into Estonian and adapt the Licensed Materials for government purposes, including training in higher education (the “Licensed Use”). This license is limited to the 2025 edition of the Licensed Materials. Future editions or a different use of the Licensed Materials will require additional permission from WHO.
2. Retained Rights. Copyright in the Licensed Materials remains vested in WHO, and WHO retains all
rights not specifically granted under this Agreement.
3. Mandatory Acknowledgement. In every instance of the Licensed Use, the Licensee must make suitable acknowledgement of WHO, as acknowledgement on the frontpage of the Licensee’s version of the training, as follows: Copied, translated and adapted from “Writing about suicide in a responsible way: training course for media professionals and students.” Copenhagen: WHO Regional Office for Europe; 2025. Adapted and translated for government purposes, including training in higher education, with permission of WHO.
4. Altering or Modifying the Licensed Materials. As part of the Licensed Use and subject to clause 5
below, the Licensee may alter or modify the Licensed Materials.
5. Copyright translated or adapted version of Licensed Materials. The copyright in the translated or adapted version will be hold by the Licensee. The Licensee will provide an electronic version of the translated or adapted version of the Licensed Materials to WHO. The Licensee grants to the WHO a worldwide, royalty free, sub-licensable, non-exclusive license to use, reproduce, publish, display,

translate into any language and adapt the version of Licensed Materials translated or adapted by the Licensee for non-commercial purposes.
6. Appropriate and Prohibited Uses. The Licensee must use the Licensed Materials in a factual and appropriate context. The Licensee may not use the Licensed Materials in association with any product marketing, promotional, or commercial activities (other than for the Licensed Use), including, without limitation, in advertisements, product brochures, company-sponsored web sites, annual reports, or other non-educational publications or distributions.
7. No WHO endorsement. The Licensee shall not state or imply that WHO endorses or is affiliated
with the Licensed Use, or that WHO endorses any entity, organization, company, or product.
8. No use of the WHO logo. In no case shall the Licensee use the WHO name or emblem, or any abbreviation thereof. Notwithstanding the foregoing, if the WHO name and/or emblem appear as an integral part of the Licensed Materials (e.g. on a map) the Licensee may use the name and/or emblem in the Licensee’s use of the License Materials, provided the name and/or logo is not used separately from the Licensed Materials.
9. No Warranties by WHO. All reasonable precautions have been taken by WHO to verify the
information contained in the Licensed Materials. However, WHO provides the Licensed Materials to the Licensee without warranty of any kind, either expressed or implied, and the Licensee is entirely responsible for its use of the Licensed Materials. In no event shall WHO be liable for damages arising from the Licensee’s use of the Licensed Materials.
10. Indemnification of WHO. The Licensee agree to indemnify WHO for, and hold WHO harmless
against, any claim for damages, losses, and/or any costs, including attorneys' fees, arising in any manner whatsoever from the Licensee’s use of the Licensed Materials or for the Licensee’s breach of any of the terms of this Agreement.
11. Termination. The license and the rights granted under this Agreement shall terminate
automatically upon any breach by the Licensee of the terms of this Agreement. Further, WHO may terminate this license at any time with immediate effect for any reason by written notice to the Licensee.
12. Entire Agreement, Amendment. This Agreement is the entire agreement between the Licensee and WHO with respect to its subject matter. WHO is not bound by any additional terms that may appear in any communication from the Licensee. This Agreement may only be amended by mutual written agreement of the Licensee and WHO.
13. Headings. Paragraph headings in this Agreement are for reference only.
14. Dispute resolution. Notwithstanding any specific provision herein, this Agreement and any dispute arising therefrom or relating thereto shall be governed by general principles of law, to the exclusion of any single national system of law. Any dispute arising from or relating to this Agreement, including its validity, interpretation, or application shall, unless amicably settled, be

subject to conciliation. In the event the dispute is not resolved by conciliation within thirty (30) days, the dispute shall be settled by arbitration. The arbitration shall be conducted in accordance with the modalities to be agreed upon by the parties or, in the absence of agreement within thirty (30) days of written communication of the intent to commence arbitration, in accordance with the UNCITRAL Arbitration Rules. The parties shall accept the arbitral award as final.
15. Privileges and immunities. Nothing in this Agreement shall constitute, or be deemed to constitute,
a waiver of any of the privileges and immunities enjoyed by WHO and its officials under any source of law, or as a submission to the jurisdiction of any national court or tribunal.
