THIS wET LEASE AGREEMENT is made on trris \\ day of February 2024
BETWEEN:
European Air charter EAD, a single shareholder joint stock company duly organized and validly existing under the laws of the Republic of Bulgaria, registered with the Bulgarian Commercial Register under Unified Identification Code (EIK) 204830885, having its registered office at 35 Pavel Krasov Str, I 138 Sofia, Bulgaria (the "Lessor"); and
(2) Marabu Airlines Oti, company incorporated under the laws of the Republic of Estonia, registered with the Estonian Commercial Register under the registry code l662l0SandhavingitsregisteredofficeatL66tsa5,Tallinn, ll4l5,Estonia(the "Lessee").
WHEREAS, the Lessee desires to wet lease from the Lessor two (2) Airbus A320 aircraft bearing manufacturer's serial number 2540 and 2764 powerd by two CFM56-5B4/3 engines, for the Lease Period for the purpose of operating the Services.
NOW THEREFORE, and in consideration of the mutual covenants and asreements herein contained the parties hereto agree as follows:
1. DEFINITIONS
l.l In this Agreement (including the recitals) the following terms shall have the following meanings:
"Acceptance Certificate" means in respect of the Aircraft, a certificate substantially in the form set out in Annex C.
"Agreement" means this wet lease agreement as supplemented and amended from time to time.
"Aircraft" means collectively Aircraft One and Aircraft Two, or any of them as the context may require.
"Aircraft One" means the Airbus 4320 series aircraft with manufacturer's serial number 2540 (LZ-LAH) as more fully described in part r(a) of Annex A.
"Aircraft Two" means the Airbus ,{320 series aircraft with manufacturer's serial number 2764 (LZ-LAJ) as more fully described in part r(b) of Annex A.
ooAML Laws" means all anti-corruption and anti-money laundering laws applicable to Lessee, Lessor, the country of manufacturer of the Aircraft (which shail include the United States), including without limitation Title III to the U.S.A. patriot Act, Pub. L. 107-56 (oct.26,2001), the Bank Secrecy Act, 3l u.s.c. gg 531I et. seq., the Money Laundering control Act, l8 u.s.c. gg 1956 and 195j, and the Anti
