Hankeleping nr 2, (raamleping nr 2/50-20) EGT lauaarvutite minikonkurss on sõlmitud:

Majandus- ja Kommunikatsiooniministeerium, registrikoodiga 70003158, asukohaga Suur-

Ameerika 1, Tallinn 10122, mida põhimääruse alusel esindab kantsler Ando Leppiman (edaspidi

tellija)

ja

OIXIO AS, registrikoodiga 11038974, asukohaga Siduri 3, Tallinn 11314, mida esindab

juhatuse liikme Tauno Telvik´u 24.05.2021 volikirja alusel müügidirektor Madis Sõnajalg

(edaspidi täitja),

keda edaspidi nimetatakse eraldi pooleks ja ühiselt poolteks, sõlmisid käesoleva hankelepingu

(edaspidi leping) alljärgnevas:

1. Lepingu alus

1.1. Leping sõlmitakse riigihanke „Lauaarvutite ja monitoride ostmine ja rentimine

raamlepinguga“ (viitenumber 215373) tulemusel 04.05.2020 sõlmitud raamlepingu nr

2/50-20 (edaspidi raamleping) alusel, lähtudes tellija pakkumuse esitamise ettepanekust

(riigihangete registris) ja täitja pakkumusest.

1.2. Lepingule kehtivad kõik raamlepingus ja raamlepingu lisades toodud tingimused,

kui lepingus ei ole sätestatud teisiti.

1.3. Lepingu alusel täitja annab tellijale kasutusrendile 48 kuuks lepingu Lisas 1

kirjeldatud tooted ning täidab kõik muud lepingust tulenevad kohustused.

2. Lepingu dokumendid

2.1. Lepingu lahutamatuteks osadeks on raamleping ja raamlepingu lisad, üleandmise

ja vastuvõtmise aktid, pooltevahelised kirjalikud teated ning kõik lepingu muudatused ja

muud lisad.

2.2. Lepingu lisadeks lepingu allkirjastamisel on:

Lisa 1 – Tehniline spetsifikatsioon;

Lisa 2 – Pakkumus ja volikiri;

Lisa 3 – Maksegraafik.

3. Lepingu hind ja tasumine

3.1. Lepingu hind on 7958,18 eurot ning sisaldab kõiki tasusid ja makse, sh käibemaksu.

Lepingu hind käibemaksuta 6631,82 eurot.

3.2. Tellija tasub toodete eest raamlepingu Lisa 2 punktis 3 sätestatud korras. Täitja

esitab Tellijale arve masintöödeldaval kujul, vastavalt kehtivale e-arve juhendile

(https://www.riigiteataja.ee/akt/123042019008). Arvele märgitakse Tellija

dokumendiregistris registreeritud lepingu number ja lepingus nimetatud Tellija volitatud

esindaja.

3.3. Kasutusrendimakseid hakatakse arvestama alates üleandmise-vastuvõtmise akti

allkirjastamisest.

4. Lepingu täitmine

4.1. Toodete tarneaeg on 60 päeva peale lepingu sõlmimist ja tooted võetakse vastu

üleandmise-vastuvõtmise akti alusel.

4.2. Garantiiperioodi kestus on 48 kuud alates üleandmise-vastuvõtmise akti

allkirjastamisest.

5. Poolte kontaktandmed

5.1. Tellija kontaktandmed on:

5.1.1. Tellija volitatud esindaja toodete tarnimise ja tagastamise juhendamisel ning

müüjale vajaliku lähteinformatsiooni ja tööülesannete täpsustamisel jmt ning toodete

vastuvõtmise aktide, teadete jms lepinguga seonduvate dokumentide allkirjastamisel

on Erkki Meius (tel: 6 256 358, [email protected]).

5.1.2. Tellija volitatud esindajal on õigus esindada tellijat kõikides lepinguga seotud

küsimustes, välja arvatud lepingu muutmine, tähtajalise lepingu ühepoolne

lõpetamine ning leppetrahvi, viivise ja/või kahjude hüvitamise nõude esitamine.

VOLIKIRI

Käesolevaga volitab OIXIO AS, juhatuse liikme Tauno Telviku (IK 38603250262) isikus, müügidirektorit Madis Sõnajalga (IK 38404130230) esindama OIXIO AS-i lihthangetes ja riigihangetes ja raamlepingu hangete raames korraldatavates minikonkurssides, kuid mitte rahvusvahelise hanke piirmäära ületavates hangetes.

Volituste piiratus

Volitus annab õiguse esitada eelpoolnimetatud hangetes OIXIO AS nimel pakkumisi, pidada läbirääkimisi, esindada pakkujat vaidemenetluses.

Lisaks annab volitus õiguse allkirjastada alla riigihanke piirmäära jäävate hangete ja raamlepingu hangete raames korraldatavate minikonkursside lepinguid, kuid mitte riigihanke piirmäära ületavate hangete lepinguid.

Edasivolitamise õigus

Volitus annab õiguse käesoleva volituse kehtivuse perioodil volitada edasi OIXIO AS lepingulisi töötajaid esindama OIXIO AS-i lihthangetes, riigihangetes ja raamhanke lepingute raames korraldatavatel minikonkurssidel, kuid mitte rahvusvahelise hanke piirmäära ületatavatel hangetel. Madis Sõnajalal on õigus volitada teisi OIXIO AS töötajaid esindama OIXIO AS-i ainult konkreetsetes hangetes ja mitte väljastada laiapõhjalisemaid volitusi. Volitused on sellisel juhul piiratud pakkumiste esitamise ja läbirääkimistega ning volituste kehtivus ei tohi ületada käesoleva volituse kehtivust ega anda edasivolitatavale täiendavaid õigusi lisaks pakkumise esitamisele ja läbirääkimistel OIXIO AS esindamisele.

Hankeleping nr 2, (raamleping nr 2/50-20) EGT lauaarvutite minikonkurss on sõlmitud:

Majandus- ja Kommunikatsiooniministeerium, registrikoodiga 70003158, asukohaga Suur-

Ameerika 1, Tallinn 10122, mida põhimääruse alusel esindab kantsler Ando Leppiman (edaspidi

tellija)

ja

OIXIO AS, registrikoodiga 11038974, asukohaga Siduri 3, Tallinn 11314, mida esindab

juhatuse liikme Tauno Telvik´u 24.05.2021 volikirja alusel müügidirektor Madis Sõnajalg

(edaspidi täitja),

keda edaspidi nimetatakse eraldi pooleks ja ühiselt poolteks, sõlmisid käesoleva hankelepingu

(edaspidi leping) alljärgnevas:

1. Lepingu alus

1.1. Leping sõlmitakse riigihanke „Lauaarvutite ja monitoride ostmine ja rentimine

raamlepinguga“ (viitenumber 215373) tulemusel 04.05.2020 sõlmitud raamlepingu nr

2/50-20 (edaspidi raamleping) alusel, lähtudes tellija pakkumuse esitamise ettepanekust

(riigihangete registris) ja täitja pakkumusest.

1.2. Lepingule kehtivad kõik raamlepingus ja raamlepingu lisades toodud tingimused,

kui lepingus ei ole sätestatud teisiti.

1.3. Lepingu alusel täitja annab tellijale kasutusrendile 48 kuuks lepingu Lisas 1

kirjeldatud tooted ning täidab kõik muud lepingust tulenevad kohustused.

2. Lepingu dokumendid

2.1. Lepingu lahutamatuteks osadeks on raamleping ja raamlepingu lisad, üleandmise

ja vastuvõtmise aktid, pooltevahelised kirjalikud teated ning kõik lepingu muudatused ja

muud lisad.

2.2. Lepingu lisadeks lepingu allkirjastamisel on:

Lisa 1 – Tehniline spetsifikatsioon;

Lisa 2 – Pakkumus ja volikiri;

Lisa 3 – Maksegraafik.

3. Lepingu hind ja tasumine

3.1. Lepingu hind on 7958,18 eurot ning sisaldab kõiki tasusid ja makse, sh käibemaksu.

Lepingu hind käibemaksuta 6631,82 eurot.

3.2. Tellija tasub toodete eest raamlepingu Lisa 2 punktis 3 sätestatud korras. Täitja

esitab Tellijale arve masintöödeldaval kujul, vastavalt kehtivale e-arve juhendile

(https://www.riigiteataja.ee/akt/123042019008). Arvele märgitakse Tellija

dokumendiregistris registreeritud lepingu number ja lepingus nimetatud Tellija volitatud

esindaja.

3.3. Kasutusrendimakseid hakatakse arvestama alates üleandmise-vastuvõtmise akti

allkirjastamisest.

4. Lepingu täitmine

4.1. Toodete tarneaeg on 60 päeva peale lepingu sõlmimist ja tooted võetakse vastu

üleandmise-vastuvõtmise akti alusel.

4.2. Garantiiperioodi kestus on 48 kuud alates üleandmise-vastuvõtmise akti

allkirjastamisest.

5. Poolte kontaktandmed

5.1. Tellija kontaktandmed on:

5.1.1. Tellija volitatud esindaja toodete tarnimise ja tagastamise juhendamisel ning

müüjale vajaliku lähteinformatsiooni ja tööülesannete täpsustamisel jmt ning toodete

vastuvõtmise aktide, teadete jms lepinguga seonduvate dokumentide allkirjastamisel

5.1.2. Tellija volitatud esindajal on õigus esindada tellijat kõikides lepinguga seotud

küsimustes, välja arvatud lepingu muutmine, tähtajalise lepingu ühepoolne

lõpetamine ning leppetrahvi, viivise ja/või kahjude hüvitamise nõude esitamine.

Volitus annab õiguse käesoleva volituse kehtivuse perioodil volitada edasi OIXIO AS lepingulisi töötajaid esindama OIXIO AS-i lihthangetes, riigihangetes ja raamhanke lepingute raames korraldatavatel minikonkurssidel, kuid mitte rahvusvahelise hanke piirmäära ületatavatel hangetel. Madis Sõnajalal on õigus volitada teisi OIXIO AS töötajaid esindama OIXIO AS-i ainult konkreetsetes hangetes ja mitte väljastada laiapõhjalisemaid volitusi. Volitused on sellisel juhul piiratud pakkumiste esitamise ja läbirääkimistega ning volituste kehtivus ei tohi ületada käesoleva volituse kehtivust ega anda edasivolitatavale täiendavaid õigusi lisaks pakkumise esitamisele ja läbirääkimistel OIXIO AS esindamisele.
