Essential technical modifications may make it necessary to replace certain items ordered by the customer with new successor items. In this case, the customer agrees to the modification of the subject matter of the contract even after placement of the order, provided that the agreed terms and conditions are retained and that the successor item complies with the technical specifications of the item ordered by the customer.
The customer has to make all payments from a bank account under their name. The customer is liable for all payments from the contractual relationship and must ensure compliance with all applicable legislation, in particular on the prevention of money laundering.

and
Rohde & Schwarz Danmark A/S, registry code DK13701806, registered office at Lyskær 3D-1, Herlev, 2730, Denmark, represented by Managing Director Niels Frandsen (hereinafter the Seller),
hereinafter referred to collectively as the Parties and separately as the Party, taking into account that:
• The Parties have concluded a Framework Agreement no 4-7/0062-1 concluded on 08.08.2025 (hereinafter the Framework Agreement);
• The Buyer submitted a description of the works on for the requested products;
• The Seller submitted the tender on according to terms of the framework agreement and the Buyer has accepted the tender on 17.11.2025;
have entered into the following contract of purchase and sale (hereinafter the Contract):
1. Contract documents
1.1. The contract documents comprise this Contract, annexes to the Contract and any amendments to the Contract agreed upon after the signing of the Contract, which form an integral part of the contract, as well as the Framework Agreement.
1.2. At the time of signing, the Contract includes the following annexes:
1.2.1. Annex 1 — Buyer's description of works of 03.11.2025;
1.2.2. Annex 2 — Seller's tender No 1062694.0 of 05.11.2025.
2. Object of the contract
2.1. The Seller sells and the Buyer buys the following items that comply with the terms of the contract (hereinafter the Goods):
2.1.1. Direction Finders based on UMS400 & ADD597 in accordance with clause A of the technical specification of Annex 1 (Quantity 2);
2.1.2. Vector Network Analyser ZNH18 in accordance with clause B of the technical specification of Annex 1 (Quantity 1);
2.1.3. Handheld antenna set HE400 in accordance with clause C of the technical specification of Annex 1 (Quantity 1);
2.1.4. Direction Finding Antenna ADD507 in accordance with clause D of the technical specification of Annex 1 (Quantity 1);
2.1.5. Direction Finding Option for EM200 in accordance with clause E of the technical specification of Annex 1 (Quantity 1);
2.1.6. Direction Finding license for CEPTOR software in accordance with clause F of the technical specification of Annex 1 (Quantity 1);
2.1.7. Universal Monitoring Receiver UMS400 in accordance with clause G of the technical specification of Annex 1 (Quantity 1);
2.2. According to Annex 2 and Framework Agreement clause 11, the Seller grants at least 12 month warranty for each individual item.
3. Purchase price and payment terms
3.1. The total purchase price of the Goods is on 609 811,27 euros (excluding VAT). The prices for individual Goods are listed in Annex 2.
3.2. The Seller submits to the Buyer invoices to [email protected] and cc to [email protected] in a PDF format. The invoice must indicate the Contract number, reference(s) to the specific Tender number(s) and the Buyer's contact person.
3.3. The Buyer undertakes to pay the purchase price of the Goods by bank transfer to the bank account indicated on the invoice by the Seller. The term for payment can be no less than 21 calendar days as of the submission of the invoice. The date of payment for the Goods is deemed to be the date the funds are received on the bank account as indicated on the Seller's invoice.
3.4. The instrument of delivery and acceptance signed by the Parties is the basis for submission of an invoice the Seller to the Buyer.
3.5. This Contract is fully financed from the funds of the European Union Recovery Instrument NextGenerationEU.
4. Shipping and packaging of goods
4.1. The Seller arranges the delivery of the Goods to the location indicated in clause 5.3. by means of transport provided by the Seller. The Parties apply the terms of delivery in accordance with the Incoterms 2020 standard: CIP (Endla 10a, Tallinn 10122, Harju County, Republic of Estonia).
4.2. All costs related to the delivery and transportation of the Goods are borne by the Seller.
4.3. The Seller must package the Goods in such a way as to ensure that the Goods arrive undamaged at the buyer’s destination.
4.4. Each item to be delivered must be packaged separately.
4.5. Each label on the packaging must bear at least the following details:
4.5.1. name of the Goods;
4.5.2. quantity and unit of the Goods;
4.5.3. Contract number.
4.6. The box/package used for transport is marked separately. The label affixed to the box/package used for transport must bear at least the following details:
4.6.1. names of the Goods;
4.6.2. quantities and units of the Goods;
4.6.3. weight/volume of packaging;
4.6.4. Contract number;
4.6.5. the Buyer’s contact details and delivery address.
5. Delivery of Goods
5.1. The Goods are delivered by the Seller to the Buyer by the individual dates listed in Annex 1 for each of the Goods.
5.2. For the specifics of the delivery of the Goods, Parties will follow clause 5 of the Framework Agreement.
5.3. The Seller delivers the Goods at the Buyer's registered office at Endla 10a Tallinn, 10122. Together with the Goods, the Seller hands to the Buyer documentation accessory to the Goods (eg warranty documents, technical data, user manuals, licenses) in Estonian and/or English, on hard copy and/or in electronic form.
5.4. In respect of the delivery of Goods, the Parties shall draw up an instrument of delivery and acceptance, which shall be signed by the contact persons of the Parties as indicated in clause 5.2 of Framework Agreement. The said instrument must include at least the names, quantities and date of the delivery of the Goods.
5.5. Ownership rights to the Goods pass from the Seller to the Buyer upon the instrument of delivery and acceptance being signed by both Parties. Until the transfer of possession of the Goods to the Buyer, the risk of accidental loss and damage is borne by the Seller.
6. Entry into force, amendment and termination of the contract
6.1. The Contract enters into force on the date of its signing by the last Party and remains in force until the proper performance of contractual obligations by the Parties or the premature termination of the contract.
6.2. The Contract may be amended only by written agreement of the Parties, and the amendments are formalised as annexes to the agreement. Amendments enter into force upon their signing by the last party or on the date specified by the Parties in the amendment. When amending the agreement, the Parties must comply with the conditions set out in § 123 of the Public Procurement Act.
6.3. In matters in relation to the termination of the Contract, Parties will follow the clauses of Framework Agreement.
7. Final provisions
7.1. This Contract has been drawn up in two identical copies, each having equal legal force and effect, with each Party retaining one copy.
7.2. In matters not covered by this Contract, the Parties shall be guided by the Framework Agreement. In matters not regulated by either, the Parties adhere to the legislation of the Republic of Estonia.
7.3. The Parties may not transfer the rights and obligations under the agreement to a third party without the prior written consent of the other party.
7.4. Disputes arising from the agreement are resolved through negotiations. If no agreement is reached, disputes are resolved pursuant to the procedure provided by the legislation of the Republic of Estonia.
7.5. The representatives of the Parties declare that they have all the rights and sufficient powers to enter into the agreement on behalf of the represented party in accordance with the legislation, and that they are not, to the best of their knowledge, prevented from fulfilling their obligations undertaken under and provided by the agreement.
7.6. This agreement document constitutes public information.
